📋 1. Acceptance of Terms

By accessing or using MedConnect Pro ("the Platform"), including any associated services, APIs, and the optional Storefront e-commerce add-on, you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree with these Terms, you must not use the Platform.

📝 2. Description of Service

MedConnect Pro provides a multi-tenant, HIPAA-compliant telehealth platform that includes:

  • Medical intake form management
  • Video, phone, and asynchronous consultations
  • Electronic prescribing (via DoseSpot)
  • Identity verification
  • Multi-tenant practice management
  • Analytics and reporting

Storefront Add-on: An optional e-commerce system that enables the sale of prescription and non-prescription products with integrated telehealth consultation workflows, subscriptions, and customer portal.

👤 3. User Accounts

  • You are responsible for maintaining the confidentiality of your account credentials
  • You must provide accurate and complete information during registration
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • We reserve the right to suspend or terminate accounts that violate these Terms

🏥 4. Healthcare Disclaimer

MedConnect Pro is a technology platform. We do not provide medical advice, diagnoses, or treatment. The Platform facilitates connections between patients and licensed healthcare providers.

  • Healthcare providers using the Platform are solely responsible for the medical care they provide
  • Providers must maintain appropriate licenses and credentials for the jurisdictions in which they practice
  • MedConnect Pro does not verify the accuracy of medical advice provided by healthcare providers
  • Patients should contact emergency services (911) for medical emergencies

💳 5. Payments & Billing

  • Platform subscription fees are billed according to your selected plan and billing period
  • Prices are subject to change with 30 days advance notice
  • You are responsible for all applicable taxes
  • Refunds are handled on a case-by-case basis at our discretion
  • Failure to pay may result in suspension or termination of your account

🛒 6. Storefront Add-on Terms

If you use the optional Storefront e-commerce add-on, the following additional terms apply:

6.1 E-Commerce Operations

  • You are responsible for the accuracy of product listings, pricing, and descriptions
  • You must comply with all applicable laws and regulations for selling products in your jurisdiction
  • Prescription products may only be sold with appropriate provider consultations and prescriptions
  • You are responsible for product fulfillment, shipping, and customer service

6.2 Subscription Billing

  • Storefront subscription products are billed on a recurring basis (monthly or quarterly)
  • Failed payments are retried up to 3 times over 3 days before the subscription is suspended
  • Customers may cancel subscriptions through the customer portal or by contacting support

6.3 Refunds

  • You are responsible for establishing and communicating your own refund policy to customers
  • Prescription products that have been dispensed cannot be returned per pharmacy regulations
  • Consultation fees are generally non-refundable once a provider has reviewed the case

🔒 7. Data & Privacy

  • Your use of the Platform is subject to our Privacy Policy
  • Healthcare organizations must sign a Business Associate Agreement
  • You must comply with HIPAA and all applicable healthcare regulations when handling patient data
  • We maintain data in accordance with our Data Handling practices

🚫 8. Prohibited Uses

You agree not to:

  • Use the Platform for any unlawful purpose
  • Attempt to gain unauthorized access to the Platform or other user accounts
  • Interfere with or disrupt the Platform's infrastructure
  • Reverse engineer, decompile, or attempt to extract source code
  • Share account credentials or allow unauthorized users to access your account
  • Use the Platform to store or transmit content that infringes intellectual property rights
  • Sell controlled substances without appropriate DEA registration and state licenses

💻 9. Intellectual Property

The Platform, including its software, design, documentation, and branding, is owned by MedConnect Pro and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose.

Content you create or upload (forms, listings, documents) remains your property, but you grant us a license to host and process it as needed to provide the service.

⚠️ 10. Limitation of Liability

To the maximum extent permitted by law, MedConnect Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of data, revenue, or business opportunities.

Our total liability for any claim shall not exceed the amount you paid to us during the 12 months preceding the claim.

📤 11. Termination

  • Either party may terminate the agreement with 30 days written notice
  • We may terminate immediately for violation of these Terms
  • Upon termination, you will have a data export window (30-90 days depending on your plan) to retrieve your data
  • We retain data as required by law and our data retention policies

📝 12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through a notice on the Platform at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance.
